you are zooming too close. 3ds max needs to do the interpolation (scale up) of the background image, and that will EAT UP LOTS of RAM....
Try use a plane and map the image onto that plane. Increase the Self-Illumination to 100 so the lighting in the scene will not affects the image on the plane so u will see it clearly anytime. (remember to turn on the show map in viewport button in the material editor.)
